1. Acceptance of terms

These Terms form a binding agreement between you and FrostLine Works LLC. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. Our Privacy Policy explains how we collect and use information. Acknowledgment of the Privacy Policy or acceptance of these Terms does not constitute SMS consent.

2. Eligibility and accounts

You must be able to form a binding contract under applicable law. Notify us promptly at support@frostlineworks.com if you suspect unauthorized use of an account.

3. Description of services

FrostLine Works LLC provides software applications and related hosting, directory, and platform features. Features may vary by product and may change over time. Some Services may require a paid subscription or separate product-specific terms.

4. Acceptable use

You agree not to misuse the Services. Without limitation, you must not:

• Violate any applicable law, regulation, or third-party right;
• Send spam, unsolicited marketing, or messages without required consent;
• Harass, threaten, defraud, or impersonate others;
• Upload or transmit malware, or attempt unauthorized access;
• Interfere with the integrity or performance of the Services;
• Use the Services for phishing, scams, unlawful content, or prohibited messaging categories; or
• Circumvent rate limits, security controls, opt-out mechanisms, or access restrictions.

5. SMS Messaging Terms

The following terms apply to the program named FrostLine Works SMS Messaging.

• Program name: FrostLine Works SMS Messaging
• Sender identity: FrostLine Works LLC and participating businesses using FrostLine Works applications (for example, FLW Vendor POS)
• Last updated: July 21, 2026

Expected message types

• Digital receipts; order confirmations; pickup notifications; order status updates;
• Customer support responses; account notifications; security or verification messages;
• Promotional messages only when separate, explicit promotional consent exists.

Frequency, rates, and delivery

• Message frequency varies based on activity and program.
• Message and data rates may apply.
• Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed.

Consent

• Consent is voluntary and not a condition of purchase.
• Consent must be affirmative; checkboxes are not preselected.
• Transactional consent and promotional consent are separate.
• Accepting these Terms or the Privacy Policy alone does not enroll a user in SMS.

Opt-out and help

• Reply STOP to opt out. You may receive a one-time confirmation.
• Reply HELP for help, or email support@frostlineworks.com.

Mobile information, including mobile phone numbers, SMS opt-in data, and messaging consent, is not sold or shared with third parties or affiliates for marketing or promotional purposes.

6. Business customers and messaging content

If you are a business customer using FrostLine Works to communicate with your end users:

• You are responsible for the content of your communications;
• You are responsible for obtaining and documenting required consent;
• You must honor opt-out requests promptly;
• You must comply with applicable laws (including TCPA and CTIA guidelines where applicable), carrier rules, and A2P 10DLC requirements; and
• You must not use the Services for affiliate lead generation or forbidden message categories.

7. Intellectual property

The Services, including software, design, trademarks, and documentation, are owned by FrostLine Works LLC or its licensors. You retain ownership of content you submit and grant FrostLine Works a limited license to host, process, and display that content as needed to operate the Services for you.

8. Third-party services and links

The Services may integrate with or link to third-party products. We are not responsible for third-party terms, availability, or practices.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTLINE WORKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTLINE WORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FROSTLINE WORKS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US.

11. Indemnification

You agree to defend, indemnify, and hold harmless FrostLine Works LLC from claims arising out of or related to your content, messaging practices, use of the Services, or violation of these Terms or applicable law.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, if required by law or carriers, or to protect the Services or other users.

13. Governing law

These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-law principles, unless mandatory local law provides otherwise. Courts located in Montana will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by law.

14. Changes to these terms

We may update these Terms from time to time. We will revise the “Last updated” date and may provide additional notice when changes are material.
